TRADING TERMS & CONDITIONS

 
1. Standard  Settlement Terms
  For all stock orders, a policy of C.O.D. or EFT transfer prior to despatch is applicable. A payment deposit of between 30-50% shall be required to confirm any special order or indent item. The balance shall be paid C.O.D. or EFT transfer prior to despatch.
 
2. Credit Accounts
  A credit account shall be issued only once an account application form has been completed and approved. For all stock orders, a policy of Nett thirty (30) Days from the end of the month of invoicing shall apply. A payment deposit of between 30-50% shall be required to confirm any special order or indent item. The balance shall be paid Net thirty (30) Days from the end of the month of invoicing.
 
3. Minimum Invoice Value
  Due to the nature of processing costs, orders of $50.00 or less, can not be processed.
 
4. Delivery Value
 
A. Invoiced orders having a Net value in excess of $250.00 will be delivered – FIS (Free in Store) within all Australian capital cities.
B. Invoiced orders having a net value less than $250.00 shall either be collected by the purchaser or delivered via a nominated carrier at the discretion and expense of the purchaser.
 
5. Conditions of Sale
 
A. Immediately on delivery to the purchaser, the risk in the goods shall pass to the purchaser. Notwithstanding this, title to the goods shall remain with Corelli Lighting Concepts until all moneys owing by the purchaser to Corelli Lighting Concepts have been paid in full and the purchaser shall hold the goods as bailee thereof only subject to its rights to deal with the goods in the ordinary course of business on the basis that any moneys received as a result of such dealing shall be held by the purchaser for the benefit of Corelli lighting Concepts. Corelli Lighting Concepts shall have the right to enter the premises of the purchaser to recover any goods in which it has title.

B. Property in the goods shall not pass to the purchaser until full payment for such goods has been received by Corelli Lighting Concepts. In the case of payments made by cheque or bill of exchange or note, full payment is not deemed made until all funds are cleared.

C. Orders will not be processed for any account which has amounts outstanding for longer than 60 days from the date of statement.

D. The purchaser authorises Corelli Lighting Concepts to appropriate any payment to particular goods, including goods no longer in the possession of control of the purchaser, unless the purchaser expressly appropriates such payment to particular goods and communicates such appropriation to Corelli Lighting Concepts at the time of payment.

E. Goods delivered to the purchaser for which payment has not been received and appropriated shall remain the property of Corelli Lighting Concepts and the purchaser shall hold such goods on behalf of Corelli Lighting Concepts.

F. Corelli Lighting Concepts may at any time without notice retake possession of such goods, however the purchaser shall not be entitled to return the goods except in accordance with condition 5 of this document.

G. If it becomes necessary to institute legal proceedings to recover unpaid debts to Corelli Lighting Concepts, all discounts showing on unpaid invoices become null and void and the total list prices showing become payable.

H. Nothing in these clauses affects our rights as an unpaid seller.

I. Errors and omission of a clerical or mechanical nature on invoices, delivery dockets, statements, price lists, price changes, discounts, monthly specials or on the face hereof are subject to correction by Corelli Lighting Concepts.

J. While every effort shall be made to adhere to the required delivery times, Corelli Lighting Concepts shall not be liable for any failure to procure or deliver. Or for any delay in procurement or delivery of goods to the purchaser arising from any cause beyond the control of Corelli Lighting Concepts.

K. It is agreed and declared that Corelli Lighting Concepts is not a common carrier and that in the event of loss or damage in transit as result of an act, neglect or default attributable to Corelli Lighting Concepts, liability to the purchaser shall be limited to and completely discharged by either the replacement or the repair of any goods so lost or damaged. Any claims against Corelli Lighting Concepts for such loss or damage to the goods must be made within Four (4) days from the date of delivery.

L. No cancellation or partial cancellation of an order by the purchaser shall be accepted by Corelli Lighting Concepts unless it has first consented in writing to such cancellation or partial cancellation.

M. All descriptive and forwarding specifications, drawings, particulars, dimensions, weights, and all publicity and promotional material issued by Corelli Lighting Concepts is intended to be illustrative only. None of the foregoing nor any particulars or representations contained therein shall form part of and not be deemed to have been incorporated in any contract with Corelli Lighting Concepts.

N. Every care is used in the packaging of goods, but unless agreed, no responsibility is taken for loss or damage of goods in transit.

 
6. Credit Claims and Returns
 
A. All claims for short deliveries must be made within Four (4) days from receipt of goods. No claims for short delivery can be claimed after this time. All claims must include invoice number and date.

B. To assist in the recording and reconciling of accounts, any query on pricing, discount or sales tax must be made as quickly as possible after receipt of invoice.

C. Goods will be accepted for credit only by prior agreement or to the extent that they have been wrongly or over supplied. Returned goods shall be delivered to Corelli Lighting Concepts, in good order and condition, unused and in original packaging, accompanied by a despatch note stating the original invoice number, date of supply and reason for return. Except where goods have been wrongly or over supplied, a charge as determined by Corelli Lighting Concepts will be made for handling costs. A reckoning fee of $50.00 or 15% of the price of the goods returned, whichever is the greater, will apply for purchaser initiated returns.

D. Goods returned in unsaleable condition cannot be accepted back for credit and will be returned ‘freight-on’ to the sender.

E. Goods supplied or made to special order cannot be returned or credited under any circumstances.

 
7. Goods Not Supplied on Orders
 
A. Back orders will be despatched by Corelli Lighting Concepts as soon as possible and the purchaser will accept delivery when received unless Corelli Lighting Concepts is advised when the order is placed that the order is subject to delivery within a certain period.

B. Back orders will be held at the discretion of Corelli Lighting Concepts unless advised otherwise and if below minimum delivery value they will be forwarded with the next order placed.

 
8. Warranties
 
A. Corelli Lighting Concepts shall make good by repair or by option the replacement within a reasonable time after notification by the purchaser any defect to the product purchased arising from faulty design, material or workmanship provided always that:
i. Such goods have been properly handled and used and have been operated and maintained in accordance with any instructions supplied with the goods or communicated by Corelli Lighting Concepts
ii. Such defects (whether apparent or not) occur within a period of twelve months after the goods have been delivered, provided that in the case of lamps, the average rated life of the product has not been exceeded.
iii. Corelli Lighting Concepts is notified in writing within Seven (7) days of the alleged defect occurring and the purchaser provide all relevant documents for the purchase.


B. Upon notification to Corelli Lighting Concepts of an alleged defect, the purchaser shall return the defective goods if so required by Corelli Lighting Concepts.

C. The removal of the defective part and the installation of any repaired or replacement part shall be performed by the purchaser at the expense of the purchaser. Where any defective part(s) has been replaced, such part(s) shall become the property of Corelli Lighting Concepts.

D. Corelli Lighting Concepts shall not be liable for goods whose average rated life has been exceeded or where any unauthorised repair or alteration to the goods has been performed by the purchaser.

E. The express warranty is in lieu of any other rights that would otherwise be conferred on the purchaser under any law save that this express warranty does not exclude any conditions or warranties implied into this contract by the provisions of the Trade Practices Act 1974 or by any Federal or State laws to the extent that such condition or warranties, may not be excluded by express agreement.

 
9. Pricing
 
A. All prices quoted are current at the time of printing and subject to change without notice.

B. The unit price contained in any quotation, proposal or communication shall be based on the quantities of goods referred to in the quotation, proposal or communication. In the case of any variation to the total quantity of goods ordered from that quoted, Corelli Lighting Concepts reserves the right to amend the unit price quoted.

C. Pricing does not include sales tax, unless otherwise specified in any quotation, proposal or correspondence between Corelli Lighting Concepts and the purchaser.

D. No suggested retail price is recommended or inferred.

 
10. Patents
  All care is taken to ensure that no goods supplied by Corelli lighting Concepts are in breach of third party patent rights, however Corelli Lighting Concepts shall have no liability whatsoever to the purchaser or its customers where any claim or proceedings are brought against the purchaser or its customers based upon any allegations that goods supplied by Corelli lighting Concepts infringe such rights in any way.
 
11. Legal Construction
  All Terms & Conditions shall be governed and interpreted according to the laws of Victoria.
 
12. Non Waiver
  No waiver or modification to the credit or trading Terms & Conditions shall be effective unless such waiver or modification is in writing and signed by an authorise representative of Corelli Lighting Concepts.
